What is DIGITALVERTEX PRIVATE LIMITED?
 

DIGITALVERTEX PRIVATE LIMITED is a next-generation blockchain infrastructure company building IDX — a protocol designed to power the future of decentralized applications and autonomous systems. At its foundation, IDX integrates AI-orchestrated cybersecurity, zero-knowledge privacy, and modular blockchain architecture to create a high-performance, trustless environment for Web3 ecosystems.

Through autonomous validation nodes, IDX enables seamless cross-chain interoperability, allowing developers and enterprises to deploy smart contracts and decentralized tools across multiple blockchain networks with ease. Its adaptive ledger engine continuously self-optimizes under real-time network conditions, ensuring ultra-low latency, scalable throughput, and enterprise-grade performance.

 

DIGITALVERTEX PRIVATE LIMITED provides certain software products to users, including the IDX Wallet, which is available as both an unhosted wallet application and a browser extension (the “Wallet” or the “App”), as well as its official website https://www.idxwallet.net/ (the “Site”).

The IDX Wallet allows you to:

  • Store your digital assets securely on your own device.
     

  • Send and receive digital assets.
     

  • Swap assets directly with other users or through third-party Dapps.
     

  • Stake supported assets to earn rewards.
     

  • Connect with decentralized applications (“Dapps”), such as exchanges and DeFi platforms.

  • View transaction history and track your activity.

  • Access new features that may be added to the Wallet over time (collectively, the “Functionality”).

 

“Digital Assets” means only those tokens, cryptocurrencies, and other blockchain-based assets that are listed as supported by the IDX Wallet. The availability of services and supported assets may vary depending on your location.

These Terms of Use (the “Terms” or this “Agreement”):

  • Explain the conditions under which you may use the Site and the Wallet’s Functionality.
     

  • Form a legally binding agreement between DIGITALVERTEX PRIVATE LIMITED (“we”, “us”, or “our”) and you, the user (“you” or “your”).
     

Important for Users in the United States and Canada
These Terms include an arbitration clause under the section “Dispute Resolution”. If you are located in the United States or Canada, you agree that any disputes between you and DIGITALVERTEX PRIVATE LIMITED will be resolved through binding individual arbitration. This means you waive your right to a trial by jury or to participate in a class action or similar group lawsuit.

 

Changes to Terms or Services; Third-Party Services
 

We may update or change these Terms at any time, at our discretion. If we do, we will notify you by posting the updated Terms on our website, showing a notice in the App, or by other reasonable means. It is your responsibility to review the Terms when they are updated. By continuing to use the Site or the IDX Wallet after changes are posted, you agree to be bound by the updated Terms.

If you do not agree with the updated Terms, you must stop using the Site and the IDX Wallet.

Because the IDX Wallet and its features may evolve over time, we may add, change, or discontinue parts of the Site or Functionality at any time, without prior notice.

When using the IDX Wallet, you may also use services provided by third parties. For example, swaps may rely on third-party exchanges, liquidity providers, or market makers, and downloading the IDX Wallet browser extension may require using a third-party app store. Your use of these third-party services (“Third-Party Functionality”) is subject to the terms of use, privacy policies, and fees set by those third parties DIGITALVERTEX PRIVATE LIMITED is not responsible for third-party terms, policies, or fees.
 

Acceptable Use and Enforcement Rights
 

By using the Site or the IDX Wallet, you agree not to:

  • Violate or infringe on the rights of DIGITALVERTEX PRIVATE LIMITED , our users, or others (including privacy, intellectual property, or publicity rights).
     

  • Use the Site or Wallet for anything illegal, threatening, harassing, hateful, obscene, defamatory, or discriminatory, or to promote unlawful or violent behavior.
     

  • Impersonate someone else or provide false, misleading, or fraudulent information.
     

  • Send spam, bulk messages, or other unauthorized communications.
     

  • Attempt to bypass or disable any security or technical measures we or our partners put in place.
     

  • Disguise your location or identity (for example, by using unauthorized IP proxies).
     

  • Interfere with the use of the Wallet by others, including spreading malware, overloading systems, or launching denial-of-service attacks.
     

  • Circumvent content filtering, security, or access controls.
     

  • Engage in activities that disrupt, damage, or impair the Site, Wallet, or related networks.
     

  • Violate any laws or regulations, including anti-money laundering (AML), counter-terrorism financing, anti-proliferation, or trade sanctions laws.
     

  • Encourage or help anyone else to do any of the above.
     

 

Your Commitments

By using the IDX Wallet, you represent and agree that:

  • Any digital assets you use with the Wallet belong to you or you are properly authorized to use them.
     

  • The assets you transfer through the Wallet have been legally obtained.
     

  • You will not use the Wallet to move or exchange assets tied to illegal or fraudulent activity (including terrorism, tax evasion, or money laundering).
     

  • You will not provide false or misleading information when using the Wallet.
     

  • You are responsible for paying all required blockchain network fees (“gas”) and any IDX Wallet fees shown at the time of your transaction. Even if a transaction is shown as “gasless,” you may still be responsible for fees required by the blockchain network.
     

 

Content and Monitoring

  • DIGITALVERTEX PRIVATE LIMITED is not obligated to monitor content shared by users but may remove content at any time, at its sole discretion, without notice.
     

  • You may encounter content you find offensive or objectionable, but DIGITALVERTEX PRIVATE LIMITED assumes no responsibility or liability for such content.
     

 

Export Control and Sanctions Compliance

You agree to comply with all applicable U.S. and international export control and sanctions laws (“Export Laws”).

You may not use the Site or Wallet if:

  • You are located in, a resident of, or controlled by a country under U.S. embargo or sanctions (including Cuba, Iran, North Korea, Sudan, Syria, or any other restricted country).
     

  • You are listed on government sanctions lists, such as the U.S. Treasury’s Specially Designated Nationals List, the U.S. Commerce Department’s Entity or Denied Persons Lists, or the United Kingdom’s or European Union’s sanctions regimes.
     

  • You intend to supply the IDX Wallet or related services to anyone covered by the restrictions above.

     

Fees

  • You may be charged fees for using certain features of the IDX Wallet, such as token swaps made through Market Maker quotes or third-party Dapps via the Swapper.
     

  • All applicable fees will always be shown to you at the time of the transaction. There are no hidden fees.
     

  • Fees may change from time to time, but you will always see the current fees before confirming a transaction.
     

Some third-party Dapps or services you access through the IDX Wallet may charge their own fees (for example, decentralized exchanges). DIGITALVERTEX PRIVATE LIMITED is not responsible for any fees charged by third parties.


Swapper.

  • All applicable fees will always be shown to you at the time of the transaction. There are no hidden fees.
     

  • Fees may change from time to time, but you will always see the current fees before confirming a transaction.
     

  • Some third-party Dapps or services you access through the IDX Wallet may charge their own fees (for example, decentralized exchanges). DIGITALVERTEX PRIVATE LIMITED is not responsible for any fees charged by third parties.

Please note: while we aim to show accurate fee estimates, the actual fees charged on blockchain networks (such as Solana or other compatible networks) may differ slightly due to network conditions.

For swaps, you understand that asset prices and rates shown through third-party exchanges are estimates only and may change at any time. DIGITALVERTEX PRIVATE LIMITED is not responsible for losses or issues resulting from price changes or inaccurate estimates provided by third-party platforms.

 

Arrangements with Third Parties

  • To improve your experience, DIGITALVERTEX PRIVATE LIMITED may work with third-party partners such as validators, searchers, or market makers (“Partners”).
     

  • These Partners may share a portion of the fees they earn (e.g., from arbitrage, priority execution, or limit order fulfillment) with DIGITALVERTEX PRIVATE LIMITED.
     

  • If you choose to execute a swap with a Market Maker, you understand and agree that DIGITALVERTEX PRIVATE LIMITED may receive a fee from that Market Maker.
     

 

Third-Party Functionality

  • The IDX Wallet may connect you to third-party services or Dapps (including exchanges) to enable features like swaps.
     

  • When using these third-party services, your assets and private keys remain under your control—they are never transferred to DIGITALVERTEX PRIVATE LIMITED.
     

  • DIGITALVERTEX PRIVATE LIMITED does not control, endorse, or guarantee any third-party services, and we are not responsible for their availability, legitimacy, or the products/services they offer.
     

  • Any transactions or interactions with third parties are solely between you and those third parties, and you assume all risks associated with them.
     

  • If you link your IDX Wallet to external accounts (for example, on other platforms or services), those interactions are also subject to the terms and policies of the third-party providers.

Eligibility

You may use the Site and the IDX Wallet if:

  • You are at least the age of majority in your place of residence, and are legally allowed to enter into contracts.
     

  • You are not prohibited from using the Site or the IDX Wallet under applicable law.
     

  • You are not, and no one who owns or controls you is, subject to sanctions or listed as a prohibited or restricted party by authorities such as the United Nations, the U.S. government, the European Union, the United Kingdom, or other applicable government bodies.
     

If you are using the Services on behalf of a company or other entity, you confirm that you have the legal authority to bind that entity to these Terms.

 

Registration, Security, and Suspension

  • To use certain features of the IDX Wallet, you may need to create an account (“Account”).
     

  • You are responsible for keeping your Account credentials secure and must not share them with others. You are also responsible for all activity that occurs under your Account, whether you authorized it or not.
     

  • You agree to notify us immediately if you suspect unauthorized use of your Account.
     

  • We may suspend or terminate your Account or access to the IDX Wallet at any time, in our sole discretion, including if you provide false information or violate these Terms.
     

 

Recovery Phrase

  • When creating an IDX Wallet, you will receive a Recovery Phrase. This Recovery Phrase is the only way to regain access to your Wallet and the digital assets stored in it if you lose your device or password.
     

  • You are solely responsible for keeping your Recovery Phrase safe and secure. Anyone who has it can access, transfer, or spend your digital assets.
     

  • If you lose your Recovery Phrase, DIGITALVERTEX PRIVATE LIMITED cannot help you recover your assets. We do not store, manage, or have access to your Recovery Phrase.
     

  • You agree that DIGITALVERTEX PRIVATE LIMITED and its affiliates will not be liable for any loss of assets caused by your failure to secure your Recovery Phrase.
     

Feedback

We welcome your feedback, comments, ideas, and suggestions (“Feedback”) about the IDX Wallet. By submitting Feedback, you grant DIGITALVERTEX PRIVATE LIMITED a worldwide, perpetual, irrevocable, royalty-free, and transferable license to use, copy, modify, and commercialize your Feedback in any way and for any purpose, without any obligation to you.


Acknowledgment of Certain Risks; Other Disclaimers; Release of Claims

By accessing and using the IDX Wallet and its Functionality, you acknowledge that you are transacting peer-to-peer and that IDX Wallet is not acting as an intermediary, broker, dealer, or financial advisor, nor are we providing any regulated services. You are not a customer of IDX Wallet in the traditional financial sense. IDX Wallet does not provide investment, legal, or tax advice, and you represent that you understand the inherent risks associated with using cryptographic and blockchain-based systems. You further confirm that you have sufficient knowledge of digital assets and related technologies to evaluate these risks.

You acknowledge that:

  • Volatility: Digital asset markets are highly volatile and influenced by factors such as adoption, speculation, technology, security, and regulation. Prices may fluctuate significantly, and you may lose part or all of your assets.
     

  • Network Fees and Performance: The cost and speed of blockchain transactions (including Solana and other supported networks) are variable and may increase at any time.
     

  • Token Risks: Anyone can create tokens, including counterfeit or misleading tokens. You accept the risk of inadvertently interacting with such assets.
     

  • No Liability: IDX Wallet is not responsible for market fluctuations, failed transactions, price slippage, or losses arising from your use of the Wallet or its Functionality.
     

  • Technology Risks: Advances in cryptography, including quantum computing, or vulnerabilities in supported blockchains, may compromise security. IDX Wallet intends, but is not obligated, to implement security updates as needed.
     

  • Development Risks: Blockchains remain under active development. Technological and regulatory changes may affect their reliability, costs, and accessibility.
     

Although IDX Wallet strives to provide accurate and timely information (e.g., balances, transaction history, pricing, staking data), such information may not always be complete, accurate, or up-to-date. You are solely responsible for verifying all information before relying on it.

IDX Wallet does not custody, store, or recover your private keys, seed phrases, or access credentials. You are solely responsible for securing them. Loss of your credentials may result in the permanent loss of access to your assets.

IDX Wallet is a self-custody software application. All transactions are initiated and signed directly by users and executed peer-to-peer on supported networks through smart contracts. You are solely responsible for complying with applicable laws, including those relating to securities, commodities, taxation, and anti-money-laundering regulations in your jurisdiction.

IDX Wallet is not registered or licensed by the U.S. Securities and Exchange Commission (“SEC”), the U.S. Commodity Futures Trading Commission (“CFTC”), or any other financial regulatory authority. No regulator has reviewed or approved the use of IDX Wallet software.

By using IDX Wallet, you assume all risks associated with digital asset use, including transacting, swapping, staking, and connecting with decentralized applications. You expressly waive and release IDX Wallet, its developers, affiliates, and contributors from any liability for losses, damages, claims, or disputes arising from your use of the Wallet.


Dispute Resolution
 

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, U.S.A., without regard to conflict of law principles, except where superseded by U.S. federal law.
 

Mandatory Arbitration

Any disputes, claims, or causes of action arising out of or relating to your use of IDX Wallet or its Functionality shall be resolved through final and binding arbitration, unless prohibited by your jurisdiction or you timely opt out. Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes.

Arbitration will proceed on an individual basis. Class actions, collective actions, or representative actions are expressly waived.

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to IDX Wallet at info@idxsolana.io.

Exceptions

You or IDX Wallet may seek provisional relief in a court of competent jurisdiction (e.g., for intellectual property disputes or enforcement of arbitration awards). Additionally, small claims court may remain available where applicable.This arbitration agreement shall survive termination of these Terms. If any portion of the arbitration provision is found invalid, the remaining provisions will remain enforceable, except that if the class action waiver is found invalid, this entire arbitration section shall be void.
